These Terms of Use govern access to the Arda websites and products provided by ArdaBot, Inc., a Delaware corporation. By using the services, you agree to these terms. If you act for an organization, you must have authority to do so.
Service agreements
A separately executed customer agreement, order form, business associate agreement, or data-processing agreement governs the services it covers and controls in the event of a conflict. These terms do not replace a practice’s patient-care agreement or a health plan’s coverage documents, and do not establish acceptance of a separately required agreement.
Accounts and authorized access
Provide accurate account information, safeguard credentials, and use only the organizations and records you are authorized to access. Do not share accounts or circumvent identity, role, consent, or security controls. Notify your administrator promptly of suspected unauthorized use. Organizations are responsible for assigning and reviewing their users’ access.
Care and coverage responsibilities
Arda supplies software; ArdaBot, Inc. is not your healthcare provider or health plan. Clinicians and care organizations remain responsible for care, prescribing, clinical judgment, and patient communications. Health plans remain responsible for coverage decisions, notices, and appeal obligations. Do not use Arda for emergency communications; contact local emergency services when urgent help is needed.
AI-assisted features
AI output can be incomplete or incorrect. Use it only within the feature’s authorized scope, evaluate supporting evidence, and perform required review before relying on it. AI does not grant clinical privileges or override consent, compliance, or required signing controls. Synthetic UM demonstrations do not authorize decisions about real patients.
Your information and intellectual property
You and the applicable record owner retain rights in information submitted to Arda. You authorize us to process it as necessary to provide the services under the applicable agreements and law. ArdaBot, Inc. and its licensors retain rights in the software, branding, and other service materials. Subject to these terms and your service agreement, you may use the service for its intended, authorized purpose.
Fees and third-party services
Practice platform fees and optional module fees are defined in the applicable order or subscription agreement. Patient-care charges are between the patient and the practice and are separate from the practice’s Arda subscription. Applicable checkout disclosures and agreements govern billing, cancellation, and refunds. External services and authorized applications may have separate terms; availability of an integration does not imply endorsement.
Acceptable use and access restrictions
Follow the Acceptable Use Policy. We may restrict access as permitted by applicable agreements and law to address misuse, security threats, or legal requirements. Record access, export, continuity, and termination obligations remain subject to those agreements and applicable law. A failed practice payment does not by itself authorize automatic suspension of clinical services.
Availability and liability
Features and availability depend on the subscribed service, configuration, and required approvals. Except as expressly stated in an applicable agreement or required by law, services are provided as available without additional warranties. Liability, remedies, and dispute procedures in an executed service agreement remain controlling. Nothing in these terms excludes non-waivable rights or liability under applicable law.
Updates and contact
We may update these terms and will publish the revision date, with additional notice where required. Material changes requiring agreement will follow the applicable agreement and law. Delaware incorporation alone does not change rights that apply where you live or the governing-law provisions of your signed agreement.
